These Terms and Conditions ("Terms") govern access to and use of the website, mobile interfaces, dashboards, communication channels and related services made available through www.degreepartner.com and any associated sub-domains, applications or partner interfaces (collectively, the "Platform").

By accessing, browsing, registering on, or using the Platform, any visitor, student, prospective student, counsellor, referral partner, institution representative or other user ("User", "you" or "your") agrees to be bound by these Terms and by any policies, guidelines, schedules, partner rules, refund terms, privacy notices, campaign conditions or operational instructions published on the Platform from time to time.

DEFINITIONS

For the purposes of these Terms:

1.1.

"Academic Institution" means any university, college, institute, awarding body, training partner or education service provider whose programs may be listed or promoted through the Platform.

1.2.

"Applicable Law" means all applicable Indian laws, rules, regulations, notifications, guidelines and directions, including consumer protection, data protection, advertising, intermediary, information technology and education-related laws.

1.3.

"Company", "Degree Partner", "we", "us" or "our" means the entity owning and operating the Platform.

1.4.

"Content" means all text, data, graphics, logos, videos, course information, brochures, images, software, user interfaces, trademarks, documents, FAQs, counselling materials and other materials made available through the Platform.

1.5.

"Lead" means an individual who has shown interest in a Program, but has not Enrolled in any Program.

1.6.

"Partner" means any referral partner, counsellor, consultant, affiliate, channel partner, marketing associate, or institutional representative authorized by the Platform to access any partner-facing services.

1.7.

"Platform" means www.degreepartner.com and all related technology, software, dashboards, communication tools, content, and services made available by the owner/operator of the Platform.

1.8.

"Program" means any degree, diploma, certificate, executive education, test preparation, skilling, upskilling, counselling, application support or other educational offering listed, promoted or facilitated through the Platform.

1.9.

"Student" means a Lead or User who has applied, enrolled, paid for, commenced or completed a Program through an Academic Institution or through a Program facilitated by the Platform.

ELIGIBILITY AND ACCOUNT REGISTRATION

Use of the Platform is permitted only to persons who are legally competent to contract under Applicable Law. If you are under the age of 18 years, the Platform may be used only with the involvement, supervision or consent of a parent or lawful guardian.

Where registration is required, you agree to provide accurate, complete and current information, and to promptly update such information if it changes. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur through your account, whether or not authorized by you.

The Company may suspend, restrict or terminate any account, registration or access if any information provided appears false, incomplete, misleading, outdated or if the Company believes that your use may violate these Terms, Applicable Law or the rights of any third party.

NATURE OF THE PLATFORM

The Platform acts as a technology-enabled educational facilitation and partner engagement platform. Depending on the relevant Program, the Platform may enable discovery of Programs, counselling support, lead capture, application support, payment facilitation, partner onboarding, partner performance tracking, communication workflows and related support services.

Unless expressly stated otherwise in writing, the Platform itself is not the university, degree-granting body or certifying authority for Programs listed on the Platform. Academic delivery, eligibility, curriculum, faculty, assessment, accreditation, issuance of certificates or degrees, timelines, fee structure and final admission decisions may be determined by the relevant Academic Institution or Program provider.

The Company reserves the right to add, remove, modify, suspend or discontinue any Program, service, feature, page, listing, campaign, eligibility requirement, dashboard functionality or access model at any time, with or without prior notice.

PERMITTED USE

You may use the Platform solely for lawful purposes connected with discovering, evaluating, applying for, enrolling into, supporting, promoting or administering Programs, in accordance with your role and access permissions.

You shall not use the Platform in any manner that is fraudulent, misleading, defamatory, infringing, abusive, harmful, disruptive or contrary to Applicable Law.

You agree not to:

  • impersonate any person or entity, or misrepresent your affiliation with any person, institution or Program;
  • submit false, fabricated or misleading information, documents, testimonials, leads or applications;
  • use the Platform to misrepresent, overpromise outcomes, state incorrect fees, accreditation, rankings, placements, scholarships, duration, refunds or Program features;
  • copy, scrape, crawl, download, reverse engineer, frame, mirror, republish or commercially exploit any part of the Platform without prior written permission;
  • interfere with the Platform's security, infrastructure, source code, performance or functionality;
  • upload viruses, malicious code, bots, scripts or automated tools that burden or compromise the Platform;
  • contact Leads, Students, Academic Institutions or Partners in violation of platform policies, consent norms or Applicable Law;
  • send unsolicited communications, spam or promotional messages in violation of telecom, privacy or consent requirements;
  • use any Platform data, student data or lead data for any independent commercial purpose not expressly authorized by the Company.

USER INFORMATION AND SUBMISSIONS

Any information, enquiry, document, application data, communication, testimonial, review, KYC document, lead data or other submission provided by you must be true, accurate, complete and lawfully shared. You confirm that you have the right to share all such information and that such sharing does not violate confidentiality, privacy, intellectual property or any other rights.

The Company may use such submissions for the purposes of operating the Platform, evaluating enquiries, processing applications, providing support, managing partner operations, complying with legal obligations, conducting internal analysis and improving services, subject to the Privacy Policy and Applicable Law.

You acknowledge that the Company may verify submitted information independently or through third parties and may reject, withhold, remove or report any submission that appears inaccurate, unlawful, suspicious, incomplete or misleading.

PROGRAMS, ADMISSIONS AND COUNSELLING

Information regarding Programs on the Platform is provided for convenience and informational purposes. While reasonable efforts may be taken to keep Program details current, the Company does not warrant that all Program descriptions, seats, timelines, fee details, scholarships, placement information, outcomes or eligibility criteria will be continuously complete, accurate or available.

Admission, enrolment, scholarship approval, fee concessions, deferment, recognition of prior learning, placement outcomes and academic progression are subject to the independent policies and decisions of the relevant Academic Institution or Program provider. Listing on the Platform does not amount to a guarantee of admission, selection, certification, employment or salary outcome.

Any counselling, guidance, documentation assistance, loan support, application support or general advisory assistance made available through the Platform is facilitative in nature and should not be construed as a guarantee or as legal, financial or professional advice unless expressly stated otherwise in writing.

PAYMENTS, FEES AND REFUNDS

Programs may require payment of registration amounts, application fees, counselling fees, subscription fees, service fees, Program fees or other charges. All applicable amounts shall be specified by the relevant Academic Institution or payment processor at the relevant time.

Payments may be processed through third-party payment gateways, banks, NBFCs or financing partners, and such transactions may be subject to their independent terms, processing timelines and verification requirements. The Company shall not be responsible for delays, failures or errors caused by third-party payment systems, though it may provide reasonable support in resolving payment-related issues.

Refund eligibility, timelines, deductions, reversals, chargebacks and forfeitures shall be governed by the applicable refund policy disclosed for the relevant Program, service, campaign or Academic Institution. Unless a specific refund policy states otherwise, no refund shall become due to the User except in accordance with the applicable refund policy.

The Company may withhold, reverse, adjust or decline any payout, credit, incentive, consideration / marketing fee referral fee or benefit where there is suspected fraud, duplicate attribution, cancellation, chargeback, ineligibility, policy breach, misrepresentation, non-payment by the student, regulatory restriction or any manifest error in records.

PARTNER SPECIFIC TERMS

Any Partner access, dashboard access, referral arrangement, consideration / marketing fee structure, lead allocation, counselling workflow or enrolment support arrangement shall be governed by these Terms together with any separate partner agreement, payout schedule, lead attribution policy, operating manual or campaign-specific instructions communicated by the Company.

Partners shall act strictly on a non-exclusive and limited basis and shall not hold themselves out as employees, agents, franchisees, legal representatives or direct appointees of any Academic Institution unless expressly authorized in writing. No Partner may make independent promises, modify approved messaging, collect unauthorized monies, issue unauthorized discounts or communicate misleading claims to Leads or Students.

The Company may monitor Partner conduct, communications, conversion quality, documentation practices, data handling and legal compliance, and may suspend or terminate Partner access immediately in case of suspected mis-selling, misconduct, policy breach, reputational risk, data misuse or legal non-compliance.

INTELLECTUAL PROPERTY

The Platform and all Content, trademarks, service marks, logos, software, designs, layouts, dashboards, data compilations, educational content, creatives, brochures, partner materials and related intellectual property are owned by or licensed to the Company and are protected under Applicable Law.

Except for the limited right to access and use the Platform in accordance with these Terms, no right, title or interest in any intellectual property is transferred to you. You shall not copy, adapt, translate, modify, distribute, create derivative works from, license, sublicense, sell or otherwise exploit any part of the Platform or its Content without prior written consent of the Company.

If the Company provides any artwork, brand asset, brochure, logo or approved marketing content to a User or Partner, such material may be used only in the manner expressly approved by the Company, and all goodwill arising from such use shall vest solely in the Company and/or the relevant rights holder.

PRIVACY AND DATA PROTECTION

Use of the Platform is subject to the Privacy Policy and any consent notices presented at the time of collection. By using the Platform, you acknowledge that personal data relating to Users, Leads, Students, employees, representatives or Partners may be collected, stored, processed, transferred and used for lawful business purposes connected with the Platform and the Programs.

Where the Company processes personal data, it shall do so in accordance with applicable data protection requirements, and authorized Partners or service providers may be required to process such data only on documented instructions and with appropriate technical and organizational safeguards.

Unauthorized use, disclosure, scraping, retention, monetization or transfer of personal data is strictly prohibited. Users must promptly report any suspected unauthorized access, data misuse, phishing, account compromise or security incident relating to the Platform. The Company may take such measures as it deems necessary to contain, investigate and respond to any actual or suspected breach.

COMMUNICATIONS AND CONSENT

By submitting your details on the Platform, you consent to receive communications from the Company, Academic Institutions, authorized Partners, service providers or payment/loan partners through phone calls, SMS, email, WhatsApp, app notifications or other channels for purposes connected with your enquiry, application, enrolment, servicing, compliance or support, subject to your consent preferences and Applicable Law.

You confirm that contact details provided by you are valid and belong to you or are lawfully shared with consent. You are responsible for ensuring that your use of the Platform and your communications comply with anti-spam, consent, telecom and marketing regulations, including any applicable Do Not Disturb requirements.

THIRD-PARTY SERVICES AND LINKS

The Platform may contain links to third-party websites, LMS platforms, payment gateways, financing partners, document verification providers, communication tools or institutional websites. Such third-party services are provided for convenience only, and the Company does not control or endorse their content, terms, privacy practices, availability or performance unless expressly stated.

Your dealings with any third party are solely between you and that third party, and the Company shall not be responsible for any loss, damage, dispute, delay or claim arising from such dealings, except to the extent caused directly by the Company's own breach of law.

SUSPENSION AND TERMINATION

The Company may suspend, restrict, deactivate or terminate your access to the Platform, in whole or in part, immediately and without liability, if it believes that you have violated these Terms, created legal or reputational risk, engaged in fraud or misconduct, misused data, infringed intellectual property, disrupted operations, or acted in a manner inconsistent with Platform policies or Applicable Law.

You may discontinue use of the Platform at any time. However, termination or discontinuation shall not affect accrued rights, outstanding payment obligations, surviving confidentiality obligations, intellectual property protections, indemnity obligations, data retention rights permitted by law, or any obligations that by their nature are intended to survive.

Upon suspension or termination, the Company may disable access credentials, revoke permissions, delist materials, stop communications, cancel incentives, notify relevant stakeholders, preserve records and require return or deletion of confidential or proprietary materials.

CONFIDENTIALITY

Where you receive any non-public information relating to the Company, the Platform, any Program, any Academic Institution, any Partner, or any Lead or Student, such information shall be treated as confidential and shall not be disclosed or used except as strictly required for an authorized purpose.

This obligation does not apply to information that is lawfully public without breach, lawfully obtained from an independent source without confidentiality restrictions, or required to be disclosed under law, provided that lawful notice is given where permitted. The Company may require return, deletion or destruction of confidential information upon demand or upon termination of access.

DISCLAIMERS

The Platform, Content and services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, except to the extent such warranties cannot be excluded under Applicable Law.

To the fullest extent permitted by law, the Company disclaims warranties relating to uninterrupted availability, merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, suitability of any Program, conversion rates, admissions outcomes, business results, student success, placement outcomes, or compatibility of the Platform with any device, network or software environment.

Temporary interruption of the Platform may occur due to maintenance, upgrades, system failures, internet outages, third-party disruptions, governmental actions or force majeure events, and the Company shall not be liable for losses arising solely from such interruptions except as required by law.

INDEMNITY

You agree to indemnify, defend and hold harmless the Company, its affiliates, directors, officers, employees, agents, licensors, service providers and partners from and against any claims, demands, actions, proceedings, losses, liabilities, damages, penalties, costs and expenses, including reasonable legal fees, arising out of or in connection with your use of the Platform, your violation of these Terms, your breach of Applicable Law, your infringement of any rights, or any false or misleading information or representations made by you.

Where you are a Partner, this indemnity specifically includes claims arising from mis-selling, unauthorized representations, improper data use, non-compliant marketing, student complaints caused by your actions, fee disputes attributable to your conduct, or violation of any payout, refund, consent or institutional policy.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for loss of revenue, profits, goodwill, opportunity, data or anticipated savings, arising out of or related to the use of or inability to use the Platform, even if advised of the possibility of such damages.

Subject to Applicable Law, the aggregate liability of the Company arising out of or relating to these Terms or the Platform shall be limited to 3 (three) months preceding the event of default. If the Platform operator prefers a different cap, that cap may be revised before adoption.

Nothing in these Terms shall exclude liability where exclusion is prohibited under law, including liability for fraud or wilful misconduct to the extent such exclusion is not legally permitted.

COMPLIANCE WITH LAW

All Users shall comply with Applicable Law while using the Platform, including laws relating to advertising, consumer protection, privacy, confidentiality, anti-corruption, information technology, intellectual property and educational services. Users shall not engage in conduct that could cause the Platform or any Academic Institution to violate Applicable Law or regulatory guidance.

The Company may cooperate with courts, regulators, law enforcement agencies, universities, payment partners or other authorized bodies in investigating suspected illegal, fraudulent, abusive or non-compliant conduct.

GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or in connection with these Terms, the Platform or any related services shall be subject to the exclusive jurisdiction of the competent courts at Mumbai, India, unless the Company elects a different venue in the final commercial version or Applicable Law mandates another forum.

CHANGE TO THE TERMS

The Company may revise, update or replace these Terms from time to time. Updated Terms may be posted on the Platform with a revised effective date, and continued use of the Platform after such update shall constitute acceptance of the revised Terms to the extent permitted by law.

Users are expected to review the Terms periodically. If you do not agree to the revised Terms, you must stop using the Platform.

MISCELLANEOUS

These Terms constitute the entire understanding between the Company and the User with respect to the use of the Platform, except where separate signed agreements, program-specific terms, refund terms, privacy notices or partner terms expressly apply.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Failure by the Company to enforce any provision shall not operate as a waiver of that provision or any other right.

You may not assign or transfer any rights or obligations under these Terms without prior written consent of the Company. The Company may assign its rights or obligations to an affiliate, successor, acquirer or service provider as part of a business transfer, restructuring or operational arrangement.
